The company's Constitutional Documents will need to be attested for business setup in Saudi Arabia.

This includes:

  • Articles of Association (AOA)/Memorandum of Association (MOA)
  • Trade License
  • Commercial Registration
  • Certificate of Incumbency
  • Other documents where required

The parent company will also need to draft a Board Resolution and Power of Attorney (POA).

All documents will need to be notarized, legalized and attested through the Saudi Arabian embassy.


What is the process for Saudi Arabia attestation?

Attestation for Saudi Arabia procedures first begins in the business owner or parent company's country of origin. The steps for attestation are as follows:

  1. Attestation of documents/certificates from the country of origin will need to be authenticated by the respective embassy in the issuing nation.
  2. Saudi Cultural Mission Attestation (SACM) will then need to verify these documents.
  3. Saudi Embassy attestation in the document's country of issuance.

In December 2022, Saudi Arabia joined the Hague Convention as the 122nd member. The Hague or Apostille Convention is an international treaty whose main objective is to simplify the certification process for official documents.

It simplifies the process as official documents issued in one of the Hague Convention member states will be accepted in the other 121 member countries.

By obtaining an Apostille certificate through the Hague Convention, companies can avoid additional certification and legalization costs as they would not certify or legalize in the foreign country’s embassy or consulate which streamlines important formation and immigration processes when setting up a business in Saudi Arabia.

If the country is part of the Hague Convention, then they just need to be attested only and will not have to be notarized and legalized.
